    1. Purpose and Scope

These Website Terms of Use ("Terms") govern the use of websites, Learning Management Systems (LMS), online learning platforms, virtual classroom applications, mobile applications and other digital services operated by NTSS Eğitim ve Danışmanlık Ltd. Şti. ("NTSS").

These Terms apply to all services provided through:

·         Any other websites and digital platforms operated by NTSS

By accessing, registering with, purchasing services from, or otherwise using the Platforms, Users acknowledge that they have read, understood and agreed to be bound by these Terms.

2. Definitions

For the purposes of these Terms:

NTSS means NTSS Eğitim ve Danışmanlık Ltd. Şti.

User means any natural or legal person accessing or using NTSS websites or digital platforms.

Learner means any individual enrolled on a course provided by NTSS.

Platform means all websites, LMS systems and digital services operated by NTSS.

Content means all text, images, graphics, videos, audio recordings, presentations, course materials, assessment materials and other digital content made available through the Platforms.

4. Scope of Services

NTSS may offer, provide or facilitate the following services:

·         Professional courses;

·         Online learning services;

·         Virtual classroom programmes;

·         Webinars;

·         Certification preparation programmes;

·         Consultancy services;

·         Technical publications;

·         Digital learning content;

·         Membership services;

·         Professional development activities.

NTSS reserves the right, at its sole discretion, to develop, update, modify, suspend or discontinue any service, platform or content at any time.

5. User Responsibilities

Users agree to:

·         Provide accurate, complete and up-to-date information;

·         Comply with all applicable laws, regulations and professional requirements;

·         Respect the rights of NTSS and third parties;

·         Refrain from compromising the security or functionality of the Platforms;

·         Maintain the confidentiality of account credentials;

·         Comply with all applicable accreditation, certification and assessment requirements.

Users must not engage in any activity that may damage, disrupt, impair or compromise NTSS systems, services or operations.

6. Account Security

User accounts are personal and may only be used by the registered account holder.

The following activities are strictly prohibited:

·         Account rental;

·         Transfer of accounts;

·         Use of another person's account;

·         Unauthorised access attempts.

Users are solely responsible for maintaining the confidentiality and security of their account credentials.

NTSS reserves the right to restrict, suspend or terminate any account where a security breach, suspected misuse or violation of these Terms is identified.

7. Intellectual Property Rights

All Content available on the Platforms, including but not limited to:

·         Presentations;

·         Videos;

·         Audio recordings;

·         Images;

·         Graphics;

·         Logos;

·         Documents;

·         Software;

·         Assessment materials;

·         Articles and blog content;

is protected by applicable intellectual property, copyright, trademark and related laws.

Unless expressly stated otherwise, all intellectual property rights belong to NTSS or the relevant rights holders.

The NTSS name, logo, trade name, trademarks and other distinctive brand elements are the property of NTSS and may not be used without prior written permission.

8. Use of Course Materials

Course Materials provided by NTSS may only be used by the registered Learner for personal learning purposes.

The following activities are prohibited:

·         Copying;

·         Reproducing;

·         Republishing;

·         Commercial use;

·         Offering for sale;

·         Unauthorised sharing;

·         Publishing, distributing or making available through electronic or digital channels.

Learners may not upload, input, submit, process or otherwise make available any Course Materials to any artificial intelligence system, large language model (LLM), machine learning platform, data mining system, content generation platform or similar technology for the purpose of reproduction, analysis, distribution, training, processing or making such materials available to third parties without the prior written consent of NTSS.

NTSS reserves the right to pursue all available legal remedies in the event of any breach.

9. Academic Integrity and Examination Security

Learners agree to:

·         Adhere to the principles of academic integrity;

·         Refrain from cheating, plagiarism, collusion or any other form of academic misconduct;

·         Not sit examinations on behalf of another person;

·         Not permit another person to sit an examination on their behalf;

·         Refrain from obtaining unauthorised assistance.

Academic misconduct, including misconduct involving artificial intelligence tools or technologies, may be investigated and addressed in accordance with applicable course, examination, accreditation or certification requirements.

Where appropriate, NTSS reserves the right to:

·         Invalidate assessment or examination results;

·         Terminate access to a course;

·         Suspend certification processes;

·         Notify relevant accreditation, certification or professional bodies.

10. Live Learning Sessions and Recordings

Where permitted by applicable law, live online courses, webinars, virtual classroom sessions and similar activities may be recorded for the purposes of:

·         Quality assurance activities;

·         Academic verification activities;

·         Certification processes;

·         Enhancement of learning quality;

·         Compliance with legal, regulatory and accreditation requirements.

Such recordings shall be processed, retained and protected in accordance with applicable legislation and NTSS policies.

11. Accreditation and Certification Requirements

Certain courses offered by NTSS may be accredited, recognised or approved by national or international organisations.

Learners agree to comply with the rules, procedures and requirements of the relevant accreditation, certification or professional bodies.

Information necessary for certification, examinations, registration verification and quality assurance processes may be shared with the relevant organisations.

Decisions made by accreditation or certification bodies are determined in accordance with their own rules, procedures and governance arrangements.

NTSS shall not be responsible for decisions made independently by such organisations.

12. Use of Certificates and Logos

Users may not use any logo, trademark, trade name, certificate, accreditation mark or other intellectual property belonging to NTSS or any accreditation, certification or professional body in a misleading, inaccurate, deceptive or unauthorised manner.

Certificates issued by, or obtained through, NTSS are issued solely to the named individual and are non-transferable.

Certificate holders agree to use their certificates only in a truthful, accurate and non-misleading manner.

NTSS reserves the right to initiate appropriate legal and administrative action in cases involving certificate alteration, forgery, falsification, misuse or misleading representation.

13. Course Schedule and Tutor Changes

NTSS reserves the right to make reasonable changes to course dates, schedules, tutors, delivery methods, learning platforms or course content due to:

·         Changes in legislation;

·         Accreditation requirements;

·         Operational needs;

·         Tutor availability;

·         Technical requirements;

·         Force majeure events.

Where reasonably practicable, learners will be notified of such changes as soon as possible.

14. Prohibited Use

The following activities are strictly prohibited:

·         Unauthorised access attempts;

·         Attempting to access other users' accounts;

·         Uploading or distributing malicious software;

·         Investigating, exploiting or attempting to exploit security vulnerabilities;

·         Sending spam or unsolicited communications;

·         Conducting automated data collection or extraction activities;

·         Publishing unlawful content;

·         Interfering with the normal operation of the Platforms;

·         Misusing system resources;

·         Infringing the rights of NTSS or third parties.

NTSS reserves the right to restrict, suspend or terminate access for Users engaged in such activities.

15. Third-Party Links

The Platforms may contain links to third-party websites, applications or services.

Such links are provided solely for user convenience.

NTSS has no control over, and accepts no responsibility for:

·         The content of third-party websites;

·         Third-party services;

·         Security practices;

·         Privacy policies;

·         The availability or accuracy of third-party resources.

16. Limitation of Liability

NTSS takes reasonable steps to provide its services in a secure, up-to-date and uninterrupted manner wherever reasonably practicable.

However, NTSS shall not be liable for interruptions, delays, data loss or damages arising from:

·         Internet or telecommunications failures;

·         Power outages;

·         Technical failures;

·         Cyber-attacks;

·         Issues arising from third-party service providers;

·         Government actions or restrictions;

·         Natural disasters;

·         Epidemics or pandemics;

·         War;

·         Terrorist incidents;

·         Industrial action or labour disputes;

·         Other force majeure events.

To the fullest extent permitted by applicable law, NTSS's liability shall be limited accordingly.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

NTSS courses, consultancy services, certification preparation programmes and other services do not guarantee examination success, professional recognition, employment, promotion or commercial success.

17. Privacy and Data Protection

NTSS processes personal data in accordance with applicable data protection legislation.

Matters relating to the collection, processing, retention, protection and transfer of personal data are governed by the following documents:

·         Privacy Policy;

·         Cookie Policy;

·         KVKK Information Notice;

·         Explicit Consent Statement.

Users are responsible for reviewing and familiarising themselves with the relevant documents.

18. Electronic Communications

Users acknowledge that the contact information provided to NTSS is accurate, current and complete.

Notices issued by NTSS through the following channels shall be deemed valid and effective notice:

·         E-mail;

·         Learning platform notifications;

·         SMS;

·         Other electronic communication channels.

Users are responsible for promptly updating any changes to their contact information.

NTSS shall not be liable for any consequences arising from a User's failure to keep such information up to date.

19. Right to Amend

NTSS reserves the right to update, modify, revise or amend these Terms of Use at any time.

Any updated version shall take effect from the date it is published on the relevant website.

Users are encouraged to review the current version regularly.

Continued use of the Platforms following publication of any amendments may be deemed acceptance of the revised Terms.

20. Consumer Rights

The rights of Users who qualify as consumers are protected under applicable consumer protection legislation.

Nothing in these Terms shall be interpreted as excluding, restricting or limiting any mandatory consumer rights provided by law.

21. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent Courts and Enforcement Offices of Ankara, Türkiye.

Nothing in this provision shall prejudice any mandatory rights or remedies available to consumers under applicable legislation.
